Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Ebenezer Labs LLC, a Delaware limited liability company ("Ebenezer Labs," "we," "us," or "our"). These Terms govern your access to and use of the Ebenezer platform, including our website, applications, APIs, and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview of the Services

Ebenezer is an AI digital organism platform. It is a managed service: we own and operate the infrastructure that powers your Ebenezer instance. You connect your communication channels (email, calendar, messaging), configure your preferences, and Ebenezer acts as a persistent, context-aware AI that works on your behalf.

The Services are currently in beta. See Section 6 for important information about the beta program.

2. Account Terms

2.1 Eligibility

You must be at least 16 years old to use the Services.

2.2 Account Creation and Security

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at legal@ebenezerlabs.ai if you suspect unauthorized access

2.3 Account Closure

You may close your account at any time. Upon account closure, your access terminates immediately, data is deleted per our Privacy Policy, and channel connections are revoked immediately.

3. Data Ownership and Intellectual Property

3.1 Your Data

You own your data. You retain all right, title, and interest in content you provide, data from connected channels, custom configurations, and AI conversation logs.

3.2 Our Intellectual Property

Ebenezer Labs retains all right, title, and interest in the Services, including all software, algorithms, models, architectures, infrastructure, UI designs, logos, trademarks, documentation, and proprietary methods.

3.3 AI-Generated Output

You may use AI-generated output for any lawful purpose. You are solely responsible for reviewing and verifying suitability.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. Prohibited activities include violating laws, distributing malware, attempting unauthorized access, and reverse engineering.

5. Payment Terms

During the beta period, the Services may be offered at no cost or promotional pricing. We will provide at least 30 days' notice before charging for previously free Services.

6. Beta Program

The Services are currently offered in beta. Features may change, bugs are expected, availability is not guaranteed, and data migration is not guaranteed. During beta, we do not offer an SLA.

7. Service Availability and Modifications

We strive for reliable access but may experience downtime for maintenance, technical failures, or force majeure events.

8. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

AI-GENERATED CONTENT IS NOT GUARANTEED TO BE ACCURATE, COMPLETE, CURRENT, OR APPROPRIATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EBENEZER LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE PRECEDING 12 MONTHS, OR (B) $100.00.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ebenezer Labs from claims arising from your use or misuse of the Services.

11. Termination

You may terminate at any time by closing your account. We may suspend or terminate access for material breach or with 30 days' notice. Sections 3, 8, 9, 10, and 12 survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

12.2 Binding Arbitration

Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).

12.3 Class Action Waiver

YOU AND EBENEZER LABS AGREE THAT EACH MAY BRING CLAIMS ONLY IN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

13. General Provisions

  • Entire Agreement: These Terms plus the Privacy Policy constitute the entire agreement.
  • Modifications: We may modify these Terms with at least 15 days' notice for material changes.
  • Severability: Invalid provisions are enforced to the maximum extent permissible.
  • Assignment: You may not assign these Terms without consent. We may assign freely.
